Hemmed End User License Agreement

This End User License Agreement ("EULA") is between you and Scaile Studios LLC, a Missouri limited liability company ("Scaile Studios", "we", "us"). It governs your use of the Hemmed software for macOS, including updates we provide (the "Software"). By installing or using the Software, you agree to this EULA. If you do not agree, do not install or use it.

1. License grant

Trial. We grant you a free, non-exclusive, non-transferable license to use the full Software for 14 days from first launch to evaluate it.

Paid license. If you buy a license key, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software on up to 3 Macs at a time that you own or control, for personal or business use. Each Mac counts as one activation. You may free an activation with Deactivate This Mac in Settings, or by using Remove Oldest Activation, which is limited to once every 7 days per key. This license covers the major version of Hemmed you purchased and any updates to that version we choose to provide. Future major versions may be offered under a separate paid license. This license covers the features of Hemmed that run locally on your Mac. Online or cloud-based services, features with ongoing costs, and optional add-ons that we may offer at our discretion are not part of this license (see Section 5).

The Software is licensed, not sold. We keep all rights not expressly granted here.

3. Activation and license checks

Activating a key requires an internet connection. A licensed copy checks in with our license service about once a day and keeps working offline for up to 30 days after the last successful check. After that, hiding pauses until a check succeeds. Details of what is sent are in our Privacy Policy at hemmed.app/privacy.

4. macOS permissions

The Software requires macOS 13 or later and Accessibility permission to interact with menu bar items of other apps, and, for Pinned Actions, to read and press items in other apps' menu bar menus. The Software's keyboard shortcut is registered with macOS, which notifies the Software only when that shortcut is pressed. The Software does not monitor keystrokes. See our Privacy Policy. You can revoke this permission in System Settings at any time, but the Software will not work without it. The Software relies on macOS behavior that Apple may change, and future macOS versions may limit or stop its functionality.

5. Updates

We are not obligated to provide updates, support, or new versions. Any updates we provide for your major version are covered by this EULA. Future major versions may be offered as paid upgrades. You may keep using the version you purchased with no time limit.

At our discretion, we may offer online or cloud-based services, features that carry ongoing costs, or optional add-ons, including through an update. These are not included in your license, may require a separate purchase or subscription, may have usage limits, and may be changed or discontinued at our discretion. Discontinuing them will not affect the locally running features you purchased.

6. Termination

Your license ends automatically if you breach this EULA, or if your purchase is refunded or charged back. We may then deactivate your key. On termination you must stop using the Software and delete it. Sections 7 to 11 survive termination.

7. Ownership

The Software, including its code, design, name and logo, is owned by Scaile Studios and its licensors and is protected by copyright and other laws. "Hemmed" is our product name.

8. Disclaimer of warranties

Apart from the 30-day money-back guarantee in our Refund Policy and any rights you have by law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows. We do not warrant that the Software will be uninterrupted, error-free or compatible with every app or macOS version.

9. Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or lost profits, data or goodwill, arising from the Software. Our total liability for all claims relating to the Software is limited to the amount you paid for your license, or USD $15 if you used only the trial. Some jurisdictions do not allow these limits, so they may not apply to you. Nothing here limits liability that cannot be limited by law.

10. Export and U.S. government use

You will comply with applicable export laws. The Software is "commercial computer software" provided to U.S. government users with only the rights in this EULA.

11. Governing law

This EULA is governed by the laws of the State of Missouri, United States, without regard to its conflict of law rules. Disputes will be heard in the state or federal courts located in Christian County, Missouri (including the federal courts serving that county). If you are a consumer, you keep the protection of mandatory consumer laws where you live.

12. Purchases through Paddle

Purchases are processed by our reseller Paddle.com, the Merchant of Record, under our Terms of Sale and Paddle's Buyer Terms. Paddle is not a party to this EULA and has no responsibility for the Software.

13. General

This EULA, our Terms of Sale, Refund Policy and Privacy Policy are the entire agreement about the Software. If any part is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver. You may not assign this EULA; we may assign it in connection with a sale of the business.
